Acceptance of These Terms
By accessing or using the website at www.gradient-solutions.com (the "Site"), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Site. The Site is operated by Gradient Telecom, Inc. d/b/a Gradient Solutions, Inc. ("Gradient," "we," "us," or "our").
Purpose of the Site; No Offer
The Site describes the managed IT, cybersecurity, and Microsoft 365 services offered by Gradient and provides a means of contacting us. Nothing on the Site constitutes an offer capable of acceptance, and no contract for services is formed by use of the Site. Services are provided only under a signed managed services agreement and statement of work. In the event of any inconsistency between the Site and a signed agreement, the signed agreement controls.
Prices published on the Site are the standard published rates in effect on the date shown and are subject to confirmation in a written quote. A quote may differ from the published rates where an engagement requires services outside the standard plans.
Intellectual Property
The Site and its contents, including text, images, logos, page design, and code, are owned by Gradient or its licensors and are protected by copyright, trademark, and other intellectual property laws. Third-party names and marks referenced on the Site are the property of their respective owners, and their appearance does not imply endorsement of Gradient by those parties.
You may view the Site and print or save pages for your personal or internal business reference. You may not reproduce, distribute, modify, publicly display, or create derivative works from the Site or its contents, use the contents to train or operate an automated system, or use Gradient's name or marks in any manner that suggests a relationship that does not exist, without our prior written consent.
Acceptable Use
You agree not to:
- probe, scan, or test the vulnerability of the Site or its hosting infrastructure, or circumvent any security measure;
- interfere with the availability or performance of the Site or with any other person's use of it;
- use the contact form to transmit unsolicited commercial communications, false information, or any content that is unlawful, abusive, or intended to deceive;
- submit personal information about another person without that person's authorization; or
- use the Site for any purpose that is unlawful in your jurisdiction.
We may restrict or terminate access to the Site from any source that violates these terms and may report unlawful activity to the appropriate authorities.
Contact Form and Communications
Information submitted through the contact form is handled in accordance with our Privacy Notice, which is incorporated into these terms by reference. The contact form is provided by a third-party service, and its availability depends on that service. Do not submit passwords, financial account details, or other sensitive information through the form. Submission of the form does not obligate Gradient to enter into an engagement.

You agree to indemnify and hold harmless Gradient and its officers, employees, and agents from any claim, loss, or expense, including reasonable attorneys' fees, arising out of your violation of these terms or your misuse of the Site.
Governing Law and Venue
These terms are governed by the laws of the State of Illinois, without regard to its conflict of law principles. Any dispute arising out of or relating to the Site shall be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of those courts. If any provision of these terms is held unenforceable, the remaining provisions remain in full force and effect.

We may revise these terms at any time. The effective date at the top of this page indicates when they were last revised. Material changes will be indicated on this page. Continued use of the Site after a revision constitutes acceptance of the revised terms.
